Team-M8tes Terms of Use Effective Date: April 25, 2026 These Terms of Use explain the rules that apply when you access or use Team-M8tes, including our website, mobile application, platform, profiles, matching features, messaging features, subscription features, community features, and related services. These Terms are a legal agreement between you and SNG LABS LLC, doing business as Team-M8tes. In these Terms, “Team-M8tes,” “SNG LABS,” “we,” “us,” and “our” refer to SNG LABS LLC. “You” and “your” refer to the person accessing or using Team-M8tes. By accessing or using Team-M8tes, creating an account, selecting teams, subscribing, uploading content, sending messages, or otherwise using the service, you agree to these Terms. If you do not agree to these Terms, you should not use Team-M8tes. 1. About Team-M8tes Team-M8tes is a sports-fandom social and dating platform designed to help users connect with others based on shared team loyalty, sports interests, game-day preferences, event attendance, profile information, and related compatibility factors. Team-M8tes may include features such as account creation, profile creation, team selection, locked fandom choices, browsing, discovery, matching, messaging, team-based filtering, location or city-based discovery, subscription access, promotional communications, and other related features. Team-M8tes is not a sports league, team, venue, broadcaster, ticketing platform, gambling operator, fantasy sports operator, or official fan club. Unless we clearly state otherwise in writing, Team-M8tes is not affiliated with, sponsored by, endorsed by, or officially connected to any professional or collegiate sports league, team, athlete, player association, venue, broadcaster, media company, or related organization. 2. Eligibility You must be at least 18 years old to use Team-M8tes. By creating an account or using Team-M8tes, you confirm that: • You are at least 18 years old. • You have the legal authority to agree to these Terms. • Your use of Team-M8tes does not violate any applicable law, regulation, court order, or agreement. • You will provide accurate and truthful information. • You will use Team-M8tes only for lawful and personal purposes. Team-M8tes is not intended for minors. If we learn or reasonably believe that a user is under 18, we may suspend, deactivate, or delete the account. 3. Accounts and Account Security To use certain features of Team-M8tes, you may need to create an account. You agree to provide accurate, current, and complete information and to keep your account information updated. You are responsible for keeping your login credentials confidential. You are also responsible for all activity that occurs under your account. You agree to notify us promptly if you believe your account has been accessed without permission or if you suspect any security issue. We may suspend, restrict, deactivate, or delete your account if we believe that: • You violated these Terms. • You violated our Acceptable Use Policy, Safety Guidelines, or other policies. • Your conduct may harm another user, Team-M8tes, or the service. • Your account appears fraudulent, automated, abusive, inactive, incomplete, or suspicious. • Your account creates a security, legal, operational, or reputational risk. We may also suspend, restrict, deactivate, or delete your account if we are required to do so by law, legal process, or regulatory obligation. We may also restrict access while we review reports, suspicious activity, payment issues, or possible policy violations. 4. Profiles and User Information Team-M8tes may allow you to create a profile that includes information such as your name or display name, age, city, gender, interests, selected teams, photos, preferences, favorite players, game-day habits, prompts, and other information you choose to provide. You are responsible for the accuracy and legality of the information you submit. You agree not to provide false, misleading, impersonating, fraudulent, or deceptive profile information. You may not: • Impersonate another person. • Misrepresent your identity. • Misrepresent your age. • Falsely claim team loyalty. • Use another person’s photos without permission. • Create an account for someone else without authorization. • Use Team-M8tes in a deceptive or misleading way. 5. Team Selection and Locked Fandom A core feature of Team-M8tes is team-based matching and discovery. Depending on your subscription tier, you may be able to select a limited number of teams. For example, Team-M8tes may offer plans that allow users to select up to two, four, or eight teams. Current plan details, prices, features, and limits are shown in the service and may change over time. Team selections may be locked, restricted, or otherwise limited to protect the integrity of the platform and reduce misleading behavior, catfishing, team-hopping, and manipulation. Once you choose and lock a team, you may not be able to remove, swap, or change that team freely. Team-M8tes may allow users to add additional teams through an upgrade or other approved process, but we are not required to allow team changes, replacements, or removals unless we expressly provide that option. You understand and agree that: • Selected teams may affect who you can discover, match with, or be shown to. • Team selections may be used for filtering, matching, visibility, and compatibility. • Locked teams are part of the platform’s trust and identity system. • You are responsible for selecting teams carefully before confirming or locking them. • Team-M8tes may deny or restrict attempts to manipulate team selections. Team-M8tes may reset, adjust, unlock, deactivate, or otherwise modify team selections in limited circumstances, including technical errors, support issues, abuse prevention, subscription changes, administrative review, or other platform integrity reasons. 6. Subscriptions, Free Trials, and Billing Certain features of Team-M8tes may require a paid subscription. Subscription tiers, pricing, included features, team limits, renewal terms, and trial offers are displayed in the service at the time of purchase or checkout. Team-M8tes may offer free trials, promotional access, complimentary access, influencer access, family access, beta access, or other limited access offers. If a free trial or promotion is offered, the length and terms of that offer will be shown in the service or otherwise communicated to you. Unless otherwise stated, once a free trial ends, continued access to paid features may require a paid subscription. Payments may be processed by a third-party payment provider, such as Stripe. By subscribing or purchasing access, you agree to the applicable payment processor’s terms and authorize Team-M8tes or its payment processor to charge your payment method for applicable fees, taxes, renewals, upgrades, and other charges. Subscriptions may renew automatically unless canceled before the renewal date. You are responsible for managing and canceling your subscription through the available billing tools, account settings, payment processor portal, app store, or other method provided by Team-M8tes. Team-M8tes may change subscription prices, plan features, team limits, trial offers, promotional access, or billing terms at any time, subject to applicable law. Any changes will apply as described in the service or in notices we provide. Except as required by law or expressly stated by us, payments are non-refundable. 7. Upgrades, Downgrades, and Team Limits If you upgrade your subscription tier, you may receive access to additional features or team slots based on the new tier. If you downgrade your subscription tier, your available features and team limits may be reduced. Because Team-M8tes uses locked team selections, downgrading may not automatically remove previously locked teams or allow you to freely rotate teams. If you downgrade, Team-M8tes may require certain teams to become inactive, limit visibility, restrict new team selection, reduce access to certain features, or apply other controls to preserve platform integrity. Team-M8tes may determine how subscription changes affect team limits, active teams, locked teams, visibility, matching, and platform access. 8. Location, City, and Distance Features Team-M8tes may use city, region, location, or distance-related information to support discovery, matching, filters, user context, safety, and platform functionality. You may provide a city or location during onboarding or profile setup. Team-M8tes may also offer geolocation, distance-based discovery, radius filters, event-based matching, or related features. If geolocation is enabled, we may collect and process approximate location information, subject to your device settings, browser permissions, app permissions, and our Privacy Policy. Team-M8tes does not guarantee the accuracy of any city, distance, location, or proximity information. Location and distance features may be approximate, delayed, incomplete, unavailable, or inaccurate. You should not rely on Team-M8tes for emergency location services, personal safety monitoring, or real-time tracking. 9. Matching, Discovery, and Communications Team-M8tes may allow users to browse, discover, like, pass, match, message, or otherwise communicate with other users. We do not guarantee that you will receive matches, messages, dates, relationships, responses, compatibility, or any particular result from using Team-M8tes. You are solely responsible for your interactions with other users, both online and offline. Team-M8tes does not conduct comprehensive background checks on users and does not guarantee any user’s identity, intentions, character, criminal history, health, compatibility, availability, or conduct. Use caution and good judgment when communicating with or meeting other users. You should review and follow our Safety Guidelines. 10. User Content “User Content” means any content, information, photos, messages, profile details, team selections, prompts, text, images, communications, feedback, or other materials that you submit, upload, post, send, display, or otherwise provide through Team-M8tes. You retain ownership of your User Content, subject to the rights granted to Team-M8tes in these Terms. By submitting User Content, you grant SNG LABS LLC a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, reproduce, display, perform, modify, adapt, publish, transmit, distribute, and process your User Content as reasonably necessary to: • Operate, provide, and improve Team-M8tes. • Display your profile and content to other users as part of the service. • Enable matching, discovery, messaging, and other platform features. • Moderate content and enforce policies. • Provide support and troubleshoot issues. • Protect users, Team-M8tes, and the service. • Comply with legal obligations. We will not sell your private messages or profile photos to advertisers. We may use aggregated, anonymized, or de-identified information for analytics, improvement, reporting, business, or operational purposes. You represent and warrant that you have all rights necessary to submit your User Content and grant the rights described in these Terms. You may not upload or submit content that violates these Terms, our Acceptable Use Policy, our Safety Guidelines, another person’s rights, or applicable law. 11. Photos and Profile Content You are responsible for photos and profile content you upload. You may not upload: • Photos of another person without permission. • Misleading, fake, stolen, or impersonating profile images. • AI-generated images presented in a deceptive way as your actual identity. • Sexually explicit or nude content. • Content involving minors in an inappropriate, sexual, or exploitative context. • Violent, threatening, hateful, harassing, or abusive content. • Copyrighted or trademarked material you do not have the right to use. • Content that reveals another person’s private information without consent. • Content that violates these Terms, our Acceptable Use Policy, or applicable law. Team-M8tes may remove, restrict, blur, reject, or review photos or content at our discretion. 12. Messaging and User Conduct You agree to interact respectfully and lawfully with other users. You may not use Team-M8tes to: • Harass, threaten, stalk, intimidate, bully, shame, or abuse another person. • Send unwanted sexual content or explicit messages. • Pressure users for personal information, money, gifts, financial help, tickets, wagers, investments, or other benefits. • Promote scams, fraud, phishing, spam, or deceptive schemes. • Impersonate another person or organization. • Use hate speech or discriminatory content. • Solicit minors or interact with minors through the service. • Coordinate violence, illegal activity, or unsafe conduct. • Scrape, harvest, sell, or misuse user data. • Interfere with the service’s security, operation, or integrity. Team-M8tes may review reports, remove content, restrict messaging, suspend accounts, deactivate accounts, or take other action when we believe conduct violates these Terms or creates risk. 13. Reporting, Blocking, Moderation, and Enforcement Team-M8tes may provide tools to report, block, restrict, or flag users or content. We may investigate reports, but we are not required to take any specific action. We may take action based on reports, platform signals, administrator review, user behavior, legal requirements, or our own discretion. Enforcement actions may include: • Warning a user. • Removing content. • Limiting visibility. • Restricting messaging. • Resetting, adjusting, or deactivating team selections. • Suspending an account. • Deactivating or deleting an account. • Blocking an email address, IP address, payment method, or device. • Preserving information for safety, legal, fraud-prevention, or enforcement purposes. We may or may not notify you before taking enforcement action. 14. Acceptable Use You agree not to use Team-M8tes for any unlawful, harmful, abusive, deceptive, or unauthorized purpose. You may not: • Violate any applicable law or regulation. • Violate the rights of others. • Submit false or misleading information. • Harass, abuse, defame, intimidate, threaten, or discriminate against others. • Upload malicious code, viruses, bots, scrapers, or automated tools. • Spam, phish, scrape, crawl, harvest, or misuse user information. • Interfere with or circumvent security features. • Reverse engineer, copy, resell, or commercially exploit the service without authorization. • Use Team-M8tes for prostitution, trafficking, exploitation, escort services, or other illegal sexual activity. • Use Team-M8tes to promote gambling, illegal betting, or unlawful financial activity. • Use Team-M8tes to advertise, solicit, or sell products or services without our permission. • Manipulate subscriptions, team locks, matching, account creation, or platform rules. Our Acceptable Use Policy provides additional rules and is incorporated into these Terms by reference. 15. Safety Disclaimer Team-M8tes is a social and dating platform. We do not guarantee the identity, background, honesty, intentions, safety, or behavior of any user. You are responsible for your own safety and decisions when communicating with, meeting, or sharing information with other users. You should: • Meet in public places. • Tell a trusted person where you are going. • Arrange your own transportation. • Avoid sharing sensitive personal information too quickly. • Avoid sending money or financial information. • Report suspicious, abusive, or unsafe behavior. Team-M8tes is not responsible for the conduct of users online or offline. 16. Third-Party Services Team-M8tes may use or link to third-party services, including payment processors, email providers, hosting providers, analytics tools, map or location services, storage providers, app stores, and external websites. Your use of third-party services may be subject to their own terms and privacy policies. Team-M8tes is not responsible for third-party services, websites, content, actions, failures, or practices. Payment processing may be handled by Stripe or another third-party provider. Team-M8tes does not store full payment card details on its own servers. 17. Advertisements, Promotions, and Partnerships Team-M8tes may display promotions, sponsored content, partner offers, team-related content, venue-related content, advertiser information, or other promotional materials. Unless expressly stated, Team-M8tes is not responsible for third-party offers, promotions, products, services, or claims. Any transaction or interaction with a third party is between you and that third party. We may also send service-related, promotional, marketing, onboarding, reactivation, trial, subscription, or product update communications, subject to applicable law and your communication preferences. 18. Intellectual Property Team-M8tes, SNG LABS, our logos, designs, graphics, software, interfaces, text, features, branding, layouts, workflows, databases, code, and other materials are owned by or licensed to SNG LABS and are protected by intellectual property and other laws. You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, sell, license, reverse engineer, or exploit any part of Team-M8tes except as expressly permitted by these Terms. No rights are granted to you except the limited right to use Team-M8tes in accordance with these Terms. Sports team names, league names, logos, player names, venue names, and related marks may be trademarks or property of their respective owners. Their appearance or reference in Team-M8tes does not imply affiliation, sponsorship, endorsement, or approval unless expressly stated. 19. Feedback If you submit ideas, suggestions, feedback, comments, bug reports, or recommendations to us, you grant SNG LABS the right to use them without restriction or compensation to you. We may use feedback to improve Team-M8tes, develop features, modify products, create new offerings, or support business operations. 20. Service Availability and Changes We may modify, suspend, discontinue, restrict, or remove any part of Team-M8tes at any time. We do not guarantee that Team-M8tes will be available, uninterrupted, secure, error-free, or compatible with all devices, browsers, operating systems, or networks. We may perform maintenance, updates, testing, security reviews, or changes that affect availability or functionality. 21. Accuracy of Information Information in Team-M8tes may contain errors, inaccuracies, omissions, outdated information, or incomplete content. This may include pricing, subscription details, team availability, user information, location data, promotional offers, or feature descriptions. We may correct, update, remove, or change information at any time without prior notice, subject to applicable law. 22. Disclaimer of Warranties To the fullest extent permitted by law, Team-M8tes is provided on an “as is” and “as available” basis. SNG LABS disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and compatibility. We do not warrant that: • Team-M8tes will meet your expectations. • Team-M8tes will be uninterrupted, secure, timely, or error-free. • Matches, messages, dates, relationships, or outcomes will occur. • User information will be accurate or truthful. • Defects will be corrected. • Team-M8tes will be free from viruses, malware, bots, or other harmful components. You use Team-M8tes at your own risk. 23. Limitation of Liability To the fullest extent permitted by law, SNG LABS, its affiliates, owners, directors, officers, employees, contractors, agents, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, punitive, exemplary, or enhanced damages, including lost profits, lost data, loss of goodwill, personal injury, emotional distress, service interruption, computer damage, unauthorized access, or damages related to user conduct. To the fullest extent permitted by law, our total liability for any claim arising out of or relating to Team-M8tes or these Terms will not exceed the greater of: • The amount you paid to Team-M8tes in the one month before the event giving rise to the claim; or • One hundred U.S. dollars ($100). Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. 24. Indemnification You agree to defend, indemnify, and hold harmless SNG LABS, its affiliates, owners, directors, officers, employees, contractors, agents, licensors, and service providers from and against any claims, liabilities, damages, losses, costs, expenses, and fees, including reasonable attorneys’ fees, arising out of or relating to: • Your use of Team-M8tes. • Your User Content. • Your interactions with other users. • Your violation of these Terms. • Your violation of law. • Your violation of another person’s rights. • Your fraud, misconduct, negligence, or unauthorized activity. 25. Account Termination by You You may stop using Team-M8tes at any time. You may also request account deletion or deactivation by contacting us or using account tools we make available. Deleting or deactivating your account may not automatically cancel an active paid subscription. You are responsible for canceling your subscription through the available billing method, payment processor, app store, or account settings. We may retain certain information as required or permitted by law, including for fraud prevention, dispute resolution, safety, accounting, tax, legal compliance, moderation, and enforcement purposes. 26. Governing Law These Terms and any dispute arising out of or relating to Team-M8tes will be governed by the laws of the State of Minnesota and the laws of the United States, without regard to conflict-of-law principles. Subject to any rights you may have under applicable law, you agree that the courts located in Minnesota will have jurisdiction over disputes arising from or relating to these Terms or Team-M8tes. 27. Changes to These Terms We may update these Terms from time to time. When we do, we may revise the effective date above and may provide notice by email, in-app message, website notice, or other reasonable means. Unless otherwise stated, updated Terms become effective when posted. Your continued use of Team-M8tes after updated Terms become effective means you accept the updated Terms. If you do not agree to updated Terms, you must stop using Team-M8tes. 28.
